Terms And Condition
This agreement form, If fully completed. signed by the applicant’s and when accepted by the company constitutes the distributor/distributor agreement between the company and applicants whose signature appear on the form as mutually agreed by both parties after understanding all the T&C.
- Hari Ayu Herbal pvt. ltd. under The Indian Company Act. 1956 herein after referred as "The Company" having registered Office at Narola, Heerapur, Shujalpur 465333 (MP ) Company is involved in business of Direct Selling of various goods and services.
- The company has launched the business of direct selling of various goods like Health Care. Agriculture inputs, FMCG goods, consumer products and other goods "Distributor• - a peison who promotes/sell company's product and services independent distributois are not allowed to sell any product or service directly. They are responsible only for promotional activity.
- The present form is procured from the customeis only to entitle them to purchase products or services of the company via. Physical or digital means however this form does not confer any right of or in favour of customer to claim any additional benefits.
- To join the company as distributor it is compulsory to deposit this form duly filled and signed at DEPO/OUTLET/BRANCH/HO of the company with valid KYC after purchasing the joining package. All documents must be self attested. ID shall be validated only after receiving this form. In absence of the same, no distributor shall be treated as distributor and not entitled for any benefits from the company. Though it does not attract any additional benefits. The company has already made it clear to the customer that the company Is in business of selling the products and/or providing necessary services and the amount received along with this form is for the sole purpose of sales of product or services sought for and receipt of the amount doesn’t confer any right in favor of customer to claim any additional benefit.
- Minimum age to join as distributor is 18 yeais.
- All payments are subject to all applicable taxes, duties and levies, liability of other taxes, service tax and professional taxes etc. on commission earned by the distributor. All payments shall be made by DD/netbanking/any digital means only. Admin Charges @5% will be deducted from every payout. All the benefits/Incentives are payable by account payee cheque/pay direct card/bank account subject to TDS.
- The management is having sole discretion to organize the training sessions I presentations I seminais/ educational programs and the same will be informed by the telephone / mail / SMS to all the distributois accordingly. However, all such programs shall be organized by the company subject to payment of the actual cost incurred by the company in respect there of which are being collected by the company.
- Company will be responsible to issue receipt only for the payments received by the account department Any payment lost during transaction of any body then the company will not be responsible and payment will not be considered as "received payment”.
- It is made clear that none of the customer termed as distributor shall be entitled to claim his association with the company in any other capacity except being the customer and shall not be entitiled to make any representation to any customer contrary to the brochures and schemes already published by the company and in any case the company shall not be liable for any misrepresentation made by any customer I distributor and/or any amount received by the customer I distributor unless the same is present in transaction in the bank account of the company actually and physically deposited In the bank account of the company.
- The distributor will get the incentives as per company's business plan no distributor is allowed to use company's network for marketing/promoting any other product or business which is not related to the company.
- The company reserve all the rights to make changes, amendments and/or alteration in services/products provided by the company, including changes in marketing strategy, compensation plan, policies and procedures from time to time as the company may deemed fit and necessary to do so.
- After signing of said agreement with the company distributor can not deal with any other competitor company who deals in same field like direct selling/marketing or can not take distribution ship of any other company who can put adveise effect to company's business otherwise it may be reason to breach of this agreement.
- All the distributor should undeistand the business and terms and conditions of the company not only published on website of the company but also made available through hard copy and the brochures & other publicity material of the company & unconditionally accepted the same, before joining the business via filling or signing this agreement.
- It is clarified that for any reason of the business of the company is being objected by any of the statutory authorities as regards to legality and validity of the scheme. The company shall be entitled to withdraw all such scheme with immediate effect and in such circumstances the distributor will not be entitled to get any additional benefit as company had already delivered the product for the amounts received and/or had rendered the services for the amounts already received.
- The company has launched the business to sell/promote/marketing of various products like agricultural development FMCG, Ayurvedic medicines, domestic use and other products. “Independent distributors”-A person who promotes company’s product and services. He/She can not directly sell any product or service of the company, they are responsible only for promotional activities.
- It is clarified that upon payment of the amounts along with this form the customer shall obtain delivery of the products immediately failing which, the company shall not be liable for no delivery of the product in any manner and/or shall not be liable for not rendering appropriate services in any manner. It is further made clear that the amount received for the product and for the services is subject to availability and for any reason if such product/services are not available the company is entitled to change the same and provide other service/product available. No sales return, exchange or refund will be generated after free look period.
- The product may be different from the image shown on the brochures. In agriculture segment the growth and yield of crops depends on the quality and suitability of soil, water, climate, cultivation practice. Hence company is not liable or responsible for any fluctuations of growth or yield of crops.
- The company facilitates their respective customers to act as distributors for the purpose of bringing further customer for the company however the same only entitles them to earn commission as per the policy of the company for the business brought to the company by way of sale of product/services. Company does not promise any monetary gains to any distributor. Earning of any distributor will solely depend on individual and their team performance.
- The distributor is entering into this business and agreement with his/her own free will and consent. All rewards and recoginition will be calculated on fresh reward points or RP.
- It is clarified that the company is not indulged in any money circulation business and the amount paid along with this form are purely for purchase of product and not a deposit or any such investment made by the customer concerned. Also that no oral assurance/commitment is made by the company other than published shall not be binding and company will not be responsible for any such assurances made by individual. Company is not liable for any claim cost damages due to the misrepresentation or misinterpretation of promotor or distributor about the company and it’s services.
- Every distributor will have to apply for rejoining after one year from date of joining along with the form charge excluding the distributors who provide the company with business in any terms.
- The distributor may terminate this agreement at any time by giving a written notice to company. Company may terminte this agreement by giving a written notice for reasons of non performance and for the breach of any T&C of this agreement with a reasonable period of one month notice in the advance. This agreement becomes effective from the date of acceptance by the company.
- This agreement shall be governed, constructed and enforced in accordance with the law of India without regard to conflict of laws. All the above terms and conditions are applicable for every distributor including their nominee.
- Juridiction area will be Bhopal, in any case of dispute. All the distributors should understand the business of the company before filling up or signing this agreement.
- Company offers a money back policy for the products purchased liable or found damaged or expired. Company shall provide replacement/refund for the product within 30 days from date of invoice subject to physically well packed, unused and in good condition only accompanied by invoice. Money shall be returned after reduction of tax and transportation charges.
Declaration:I have gone through all the T&C mentioned above and I will abide by T&C of the company.
